April 24, 2026 Mr. Pat Stephens and Town Board Members Town of Webster 1000 Ridge Rd. Webster, New York 14580 Re: Proposal for Professional Services Town of Webster – Salt Barn, Truck Wash Building & Fuel Station Utility Building MRB Group Contract Amendment No. 2 Dear Mr. Stephens and Town Board Members, MRB Group is pleased to submit this proposal to amend our existing April 1, 2025 agreement for the Webster Highway Phase 2 project to include Construction Administration (CA) phase services. This proposal is prepared based on conversations with Pat Stephens, Town Highway Superintendent, in April, 2026. I.
Background/Understanding
Contract Document drawings and specifications for the project were completed and issued for bid on November 12, 2025. Bids were received and reviewed by the Town of Webster in late 2025 and contracts for General Construction, Plumbing, and Electrical were awarded by the Town Board in 2026. The Site Contract was not awarded and that scope of work will be completed by the Town. We understand that the Town will have issued the building permit prior to this proposal being approved and that construction on this project began on or around April 1, 2026, with some submittals having previously been reviewed by the Town DPW staff for conformance with the project documents. The Project generally consists of the following major items: •
Demolition of a portion of the former highway garage structure (approximately 20,600 SF). o
Per Pat Stephens on April 14, 2026, partial demolition and abatement by the GC Contractor has already commenced. The extent of this work is unknown by MRB.
145 Culver Road, Suite 160, Rochester, NY 14620 • 585.381.9250 MRBGroup.com
•
Selective reconfiguration of the former highway garage to be re-purposed for a new fuel utility building (approximately 275 SF).
•
Construction of a new 3,000 square foot open Wash Building consisting of prefabricated wood roof trusses, interior and exterior load-bearing concrete masonry unit walls, and an interior grated catwalk system.
•
Construction of a new pre-engineered wood Salt Storage Facility with a capacity of 6,250 tons and associated lean-to composed of wood and steel framing.
•
Site work including regrading, utility relocations, and new pavement.
II. Scope of Services and Compensation We are requesting this amendment for the following construction phase services: A. Construction Administration (CA) Services 1. Schedule, coordinate, and lead a Pre-Construction meeting. 2. Schedule, coordinate, and lead job progress meetings every two (2) weeks, up to twenty (20), throughout the duration of the construction and create and distribute Meeting Minutes to all attendees. The progress meetings will be held at the new highway garage and be attended by the Architect or Engineer, Town representatives, prime contractors and applicable Town vendors. 3. Provide up to fourteen (14) site visits, in addition to the progress meeting walk-throughs, to review progress of work being completed, answer field questions, prepare a construction/site observation report for each visit, and follow up as necessary. The site visits will be completed by the most appropriate discipline at the time of the visit (Architectural, Civil, Structural, Electrical, and Plumbing Engineers) based upon the work taking place and the need for the visit. 4. Provide up to two (2) site visits, in addition to the above, to review and approve the RPZ/Backflow installation in the Clifford E. Jones (CEJ) Building. Any additional site visits would be billed as an additional service on an hourly basis. 5. Total increase with Amendment No. 2 ....................................................................... $214,800.00 The cost figure shown above represents our lump sum amount. Any additional work beyond this fee and outside the scope of this proposal would be reviewed with the Client. MRB Group will submit monthly statements for services rendered during each invoicing period based on the efforts performed during that period. MRB Group hourly rates are subject to annual adjustment. III. Project Assumptions Our scope and fees include the following project assumptions: A. Certain construction phase services will be performed directly by Town representatives and shall not be the responsibility of MRB. These Town responsibilities are identified in the Town‑issued February 2026 Request for Proposals for Construction Administration. Refer to Section 2.2.D of the RFP for a description of the Town’s project management responsibilities. (Refer to Exhibit 3) B. Based on information provided by the Town, no MWBE requirements are known at this time to be associated with any grant award(s) received for the Project. All grant administration shall be the sole responsibility of the Town. C. Construction on the project began on or around April 1, 2026, per the Town. The Town has reviewed some submittals to date. Based on our conversations with Pat Stephens, we understand that abatement is nearly completed, and partial demolition has begun at the former highway garage. MRB is not responsible for the review or coordination of any work performed prior to execution of this agreement and prior to an initial meeting and site visit with the Town. D. Since a contract for Site work was not awarded by the Town, the Town will self-perform this scope of work. MRB will not be responsible for any review or coordination of any documentation related to this scope of work and will not be responsible for confirming that this work is completed in conformance with the Contract Documents. MRB will answer Town RFI’s and will review submittals related to the RPZ and sliding gate only. E. Per the November 2025 bid documents, installation of the new RPZ was included in the Site Contract. As the Town will now be self-performing all site work, it is anticipated that this RPZ scope will be reassigned to either the General Contractor (GC) or the Plumbing Contractor (PC). MRB will provide submittal review services and prepare all required MCWA documentation related to this work. F. Per the November 2025 bid documents, the new automatic sliding gate installation was included in the Site Contract. As the Town will now be self-performing all site work, it is anticipated that this

4
sliding gate scope will be reassigned to either the General Contractor (GC) or the Electrical Contractor (EC). MRB will provide submittal review services associated with this work. G. Printing costs for agency submittals, approvals and Town/Contractor copies during the Construction Phase will be a direct pass-through cost to the Town as incurred. H. The Town will administer all Applications for Payment from the three (3) contractors. This Town responsibility includes receiving the payment applications; evaluating the work performed; conducting pencil-copy and final-copy reviews; and submitting the completed applications to the appropriate Town department for payment. MRB will review the payment applications only to the extent required to verify the accuracy of any included Change Order information. A final copy of each pay application shall be provided to MRB for record. I.
MRB’s fee is based on construction activity anticipated to occur between 2026 and early 2027. The Town expects construction to be completed over a ten‑month (10) period. MRB’s services are therefore expected to extend for a ten‑month duration commencing upon the Town’s acceptance of this amendement. Any CA services, including closeout services, required beyond this period, shall be compensated on an hourly basis.
J.
MRB Standard Billing Rates for hourly services are subject to an annual adjustment. (Refer to Exhibit 4)
K. The outstanding balance of $6,300 associated with Amendment No. 1 is anticipated to be approved by the Town Board on May 7, 2026 and remitted to MRB Group within one (1) week of approval. Should payment not be received within this timeframe, work associated with Amendment No. 2 may be suspended. IV. Additional Services The following items (not included in the above scope of services) can be provided on a personnel time-charge basis, but would only be performed upon receipt of your written authorization: A. Attendance at any meetings beyond those stated above. B. Additional site visits, beyond those stated above. C. Any Owner‑requested redesign services, including engineering/architectural redesign and Contract Document revisions; the preparation and drafting of subsequent Requests for Proposals (RFPs); evaluation and review of subsequent contractor cost proposals; and administration and processing of related Change Orders.

MRB’s basic services include reasonable coordination efforts with Town representatives and Contractors for the purpose of obtaining required information, decisions, approvals, and signatures necessary for the performance of the Work. E. Development of a Construction Schedule and Milestone Development. F. On-site Project Representation or Construction Observation (CO) Services. G. Printing of plans and specifications for approvals, permits, construction and other purposes. H. Permit fees, laboratory testing fees, and special inspection coordination, procurement or fees. I.
