Undertaking of the Conveyance Project by the Town, including Issuance of the Bonds Section 2.1 Work. In accordance with the specifications in the Report, the Town shall undertake all necessary steps to implement the Conveyance Project in accordance with all applicable laws and regulations. The foregoing shall include the engagement of the Contractor to construct and implement the Conveyance Improvements (the “Work”) pursuant to a Townapproved contract that may include such terms, conditions, and appropriate performance and payment bonds as the Town shall deem fit (the “Contract”). Section 2.2. Timing. The Town shall utilize its best efforts to proceed with the completion of the Work in accordance with generally accepted engineering practices and in a manner such that construction of same has commenced pursuant to and subject to the Contract (and subject to any unforeseen force majeure conditions or circumstances). The Town reasonably anticipates that the Conveyance Project will be completed in good working condition on or about January 1, 2025 (the “Anticipated Completion Date”). The Town shall exercise all of its available rights and remedies under the Contract, subject to the availability of funds and any unanticipated change orders and/or need to increase the total amount of project costs and corresponding approvals to amend the Bond Resolution (to allow for additional Bonds to pay for same) in order to assure that the Contractor abides by the terms of the relevant Contract. Section 2.3. The Town shall provide the Company with a monthly progress report, which report shall include updates on the schedule, budget, scope of Work, risk, quality, safety and community concerns. The Town shall keep the Company reasonably informed as to the progress of the Work between such monthly reports, including any circumstances that may result in extending the Anticipated Completion Date of the Work. Section 2.4. Following the completion of the Work, the Town shall be responsible for all operation, maintenance and repair, including capital repairs and replacements, of the Conveyance Line at the Town’s sole cost and expense to allow the sustained and unimpeded flow of the Wastewater to the Treatment Plant. The Town shall keep the Conveyance Line as it extends to the Treatment Plant in good working order. If there is future development or maintenance on the Conveyance Line after the Conveyance Improvements are completed, the Town shall avoid any disruption or interruption of the flow of the Wastewater from the Facility through the Conveyance Line to the Treatment Plant. Section 2.5. The Town shall issue the Bonds pursuant to the Bond Resolution and in accordance with all applicable laws and regulations. The interest rate and other terms of the Bonds shall be set in accordance with applicable laws and based upon interest rate market conditions as exist at the time of such issuance. The Town makes no representations with respect to any resultant interest rate(s), debt service payments, interest payments, or any other terms or conditions associated with the annual debt service payment requirements of the Town in favor of the purchaser(s) of the Bonds. It is anticipated that the Town will first issue one or more bond anticipation notes in accordance with the LFL (herein, the “BANS”), with such BANS being replaced by one or more series of Bonds with a term not exceeding ten (10) years. The Town shall maintain absolute discretion with respect to the issuance and sale of the BANS and Bonds

in accordance with applicable laws, including the selection of purchasers, terms, conditions, and placement with either private or public purchasers of public debt. Article III – Payment of Reimbursement Payments by the Company. Section 3.1. (a) As material terms and conditions of this Agreement, and as an inducement for the Town to undertake the Conveyance Improvements and issue the Bonds, the Company hereby pledges and agrees to make annual reimbursement payments to the Town equal to no less than Ninety-Six Percent (96%) of the annual debt service payments payable by the Town for the Bonds to finance $6,280,000 of the Improvement Costs (the “Reimbursement Payments”). Such Reimbursement Payments shall be payable no later than thirty (30) days prior to the Town’s semiannual debt service payment date for the Bonds (each a “Bond Payment Date”). The Town shall, once determined, promptly notify the Company of the Reimbursement Payment amount and the Bond Payment Date. For illustrative purposes only, a schedule for the Reimbursements Payments is attached hereto at Exhibit E (the “Schedule”). The Schedule includes two different hypothetical amortizations of the Bonds. The Schedule is subject to change based: (1) unanticipated change orders and/or need to increase the total amount of the anticipated cost of the construction and installation of the Conveyance Improvements plus costs incidental to the issuance of the Bonds; and (2) interest rates at the time the Bonds are issued. The Schedule is not a guaranty of any Reimbursement Payments to be made. (b) The Company agrees to make the Reimbursement Payments, without any further notice, in lawful money of the United States of America as, on or before a Bond Payment Date, and shall be payable in the form of legal tender for the payment of public or private debts. In the event the Company shall fail to timely pay any Reimbursement Payment on or before the 30 th day prior to a Bond Payment Date (a “Reimbursement Payment Date”), the Company shall pay the same together with interest from the date said Reimbursement Payment is due at the rate of five percent (5%) per annum. If the Company shall fail to pay any Reimbursement Payment on or before any applicable Bond Payment Date, such non-payment shall constitute an Event of Default hereunder. Section 3.2 Reimbursement Payment Obligations of Company Hereunder Unconditional. The obligations of the Company to make the Reimbursement Payments required in Section 3.1 hereof and to perform and observe any and all of the other covenants and agreements on its part contained herein shall be a general obligation of the Company and shall be absolute and unconditional irrespective of any defense or any rights of setoff, recoupment or counterclaim it may otherwise have against the Town. Subject to the foregoing provisions, nothing contained in this Section 3.2 shall be construed to release the Town from the performance of any of the agreements on its part contained in this Agreement or to affect the right of the Company to seek alternate means of establishing wastewater treatment services, and in the event the Town should fail to perform any such agreement, the Company may institute such separate action against the Town as the Company may deem necessary to compel performance or recover damages for nonperformance, and the Town covenants that it will not, subject to the provisions hereof, take, suffer or permit any action which will adversely affect, or create any defect in its title to the Conveyance Line or Treatment Plant or which will otherwise adversely affect the rights or estates of the Company thereunder, except upon written consent of

the Company. None of the foregoing shall relieve the Company of its obligations under Section 3.1 hereof. Section 3.3 Use of Reimbursement Payments; Public Purposes. The parties agree and acknowledge that Reimbursement Payments made hereunder are also to provide revenues to the Town to partially mitigate the additional burdens being placed on the Town as a result of the Project and the undertaking of the Conveyance Project, and may be used for public purposes to be undertaken by the Town and/or any duly appointed agent or assignee thereof. The revenues paid by the Company to the Town, which shall be utilized at the sole and absolute discretion of the Town, including, but not limited to, as a source of funding for payment of debt service on the Bonds and/or any prospective costs and expenses associated with the Conveyance Improvements. Article IV – Operation and Use of the Conveyance Improvements; Minimum Treatment Capacity Section 4.1.
Conveyance Line Capacity.
(a) Upon completion of the Conveyance Project, and notwithstanding any future flows accepted by the Town into the Conveyance Line, the Town agrees to operate, repair and maintain the Conveyance Line to preserve the stated design capacity of the Conveyance Line. Regardless of Conveyance Line capacity actually used by the Company at the Site, for the term of this Agreement, the Town shall provide the Company with the right to utilize the Conveyance Improvements as a means to transport the Wastewater as defined above from the Facility to the Treatment Plant. The Company’s right to such capacity shall extend from the Site to the Treatment Plant, including, without limitation, capacity in the Phillips Road trunk. The Town shall not permit any current or future user of the Conveyance Line as it extends from the Site to the Treatment Plant to use such capacity exclusively reserved for the Company (the “Exclusive Capacity”), except as the Company approves in writing, which approval shall not be unreasonably withheld or delayed. However, the Town will monitor the Company’s water meter readings as received by the Monroe County Water Authority and review the flow meter readings tracking the effluent Wastewater exiting the Facility, and, in five-year increments, meet with the Company to discuss the need for such Exclusive Capacity. Otherwise, and subject to the terms of this Agreement, the Town shall retain exclusive discretion and control over the use of the Conveyance Line. (b) Notwithstanding the foregoing, the Company’s obligations to make Reimbursement Payments under Section 3.1 herein shall not be subject to the Company’s actual use of the Conveyance Improvements and such use shall not be a condition to payment of the Reimbursement Payments under this Agreement. Section 4.2. Charges for Delivery. The Company shall, at the Company’s expense, install such meters within the Site and Facility to measure the flow of Wastewater from the Facility. Following commencement of operation and transmission of Wastewater from the Facility through the Conveyance Line, the Company will pay or cause to be paid all charges normally payable by a user of the Conveyance Line for discharging wastewater into a sanitary

sewer in the Town of Webster, such as the annual sewer rent charge established by the Town Board pursuant to Town Code section 257-167. Except as the parties may otherwise agree, the meter(s) installed by the Company at the Facility will be used to routinely audit flow rates and/or sewer rent charges assessed by the Town. The Town shall have access to such meter at the Facility solely for the purposes of monitoring and reading the same. Section 4.3 Discharge Limitations. The wastewater discharged into the Conveyance Line by the Company will in all events materially comply with all applicable laws and regulations and limits, including, but not limited to applicable sections of the Town Code, the Industrial Wastewater Pretreatment Permit issued by the Town Sewer Department (the “IWPP”), Department of Health regulations and any other laws or regulations relating to the discharge of the Wastewater into publicly owned wastewater infrastructure and/or wastewater treatment facilities (herein, “Treatment Rules”). No fines or recourse to be paid or made by the Company as a result of a violation shall be utilized in any way as a set off to the Reimbursement Payments payable hereunder. To avoid any confusion, any discharge of Wastewater by the Company in excess of the mg/L discharge concentration limitations established in a Treatment Rule shall still be deemed in material compliance with the Town Code and any IWPP issued by the Town Sewer Department and not subject of a surcharge or other penalty by the Town or its Treatment Plant if the daily load for such pollutant calculated based upon a 2.0 MGPD discharge has not been exceeded because the Facility is not yet discharging 2.0 MGPD, provided that: (a) the Facility’s pretreatment facilities are being operated and maintained so as to achieve generally consistent discharges that do not exceed the mg/L discharge concentration limitations established in the Treatment Rules; (b) such Wastewater does not cause shock loading of the Treatment Plant, does not cause a substantial interference with or property damage to the Treatment Plant, or otherwise does not cause the Treatment Plant to violate its State Pollution Discharge Elimination System permit; and (c) the Company acts to promptly and diligently take corrective action to address, abate or otherwise eliminate the upset, spill, mechanical breakdown, bypass, accident or other condition experienced by the Facility or its pretreatment facilities giving rise to such temporary noncompliance with the applicable mg/L discharge concentration limitations. Article V – Term and Events of Default. Section 5.1. This Agreement shall be for a term of the greater of fifty (50) years or the date upon which the Bonds are fully paid and retired, and shall commence as of the date hereof, unless otherwise terminated by the written agreement of the parties hereto. Any uncured Event of Default hereunder (each an “Event of Default”) shall require the Company to make all outstanding and future scheduled Reimbursement Payments within sixty (60) days of the written demand therefore by the Town. Failure by the Company to make any payment due and owing the Town or its duly authorized assignee in accordance with Section 3.1 hereof shall constitute an Event of Default hereunder. Failure to cure any such Event of Default within sixty (60) days of written demand therefore shall be deemed an uncured Event of Default hereunder with the

Company being indebted to the Town for the payment of all outstanding Reimbursement Payments as of the date of the declaration of an uncured Event of Default. In such an event, the Town reserves all rights and remedies to pursue payment and collection of said sums, including, but not limited to levying such amounts by and through the Town and/or the District as a capital charge upon the Facility. Article VI – Miscellaneous Provisions. Section 6.01. TOWN OF WEBSTER SANITARY SEWER IMPROVENTS PHILLIPS ROAD TO TEBOR ROAD. ENGINEER’S REPORT PROJECT OVERVIEW A large industrial project proposes to construct a new facility in the Town of Webster with wastewater flowing to the Town of Webster wastewater treatment plant located at 226 Phillips Road. The proposed industrial facility will generate a substantial increase in flow to the town owned gravity sanitary sewer. This report will analyze the existing sanitary sewer between the connection to the trunk sewer on Phillips Road and the point of connection at the proposed Industrial facility on Tebor Road, its capacity, existing flows, and the required infrastructure improvements to facilitate the anticipated facility. EXISTING CONDITIONS Under existing conditions, there exists a 36” trunk sewer running from south to north along the west side of Phillips Road, leading to the wastewater treatment plant. Based on conversations with Webster Sewer Department staff, there are no capacity concerns for the existing trunk sewer. This is considered the starting point (downstream) for the sanitary sewer analysis. From here, a 10” sewer runs east along the north side of Schlegel Road, before crossing Schlegel Road and transitioning to an 18” sewer. The 18” sewer runs to the Salt Road / Schlegel Road intersection and transitions to 15” PVC running south along the west side of Salt Road. Once the 15” sewer reaches the Xerox property, the sewer crosses under Salt Road and heads due east toward the industrial area. Once the sewer reaches the industrial area, it transitions to 12” then to 8” once it reaches Boulter Industrial Park. Continuing East down Boulter Industrial Park, crossing Basket Road and down Tebor Road, the 8” sewer runs along the south side of Tebor Road to the proposed large industrial site. The existing 8” sewer continues to pick up flows from the south residential sites and terminates shortly after crossing State Route 104. The existing sewers analyzed in this report are located either in the town right of way or in a town dedicated easement. The above referenced sanitary sewer run is considered the primary sewer run to be analyzed to ensure adequate capacity for both existing and proposed flows. Refer to the project limits exhibit in the appendix. EXISTING FLOWS With the intent of providing the most accurate evaluation of the existing conditions, four flow monitoring stations were installed to collect flow data to be analyzed to determine peak flows including inflow and infiltration of the sewer shed. The four locations were selected to isolate specific areas for the purpose of accurately assigning flows at their respective locations. Flow Metering location #1 is located at the connection point from Schlegel Road into the trunk sewer and will capture the entire flow from the project area. Flow Metering point #2 is located at the intersection of Salt Road and Schlegel Road and will be able to isolate the flow from the CIVIL ENGINEERING LAND SURVEYING LANDSCAPE ARCHITECTURE Costich Engineering, DPC 217 Lake Avenue Rochester, New York 14608 Office (585) 458-3020 Fax (585) 458-2731 www.costich.com

subdivisions and along Schlegel Road including the elementary school. Flow Metering Point #3 is located downstream of the industrial area and can be used to isolate all flows from Salt Road. Flow Metering Point #4 will be installed directly downstream of the large industrial site and will isolate the flows from the Industrial area as well as the flows from upstream of the proposed industrial site. Table 1 below provides the location of the of the flow metering, size of the existing sewer, average dry period peak flow rates, peak flow events during observed rain events and the adjusted design peak flow rates. Complete metering results can be found in the appendix. TABLE 1 – FLOW METERING DATA

PROPOSED FLOWS FROM THE PROPOSED INDUSTRIAL SITE Based on the information provided to the Town of Webster, the proposed flows from the industrial site will be 2 million gallons per day. Their system proposes equalization and therefore will have a lower peaking factor. A peaking factor of 1.5 has been used for this analysis. For this analysis, proposed industrial flows will be represented in Gallons Per Minute (gpm). Below is the conversion using a peaking factor of 1.5. 2,000,000 GPD / 24 hr/d = 83,333 GPH 83,333 (PF=1.5) = 125,000 GPH 125,000 / 60 min/hr = 2,083 GPM 2,083 GPM FLOW FROM SITES PREVIOUSLY APPROVED UNDER DEVELOPMENT To date, there are two subdivisions (Meadows Two and Bella Terra) being constructed with access to the sewer main on Schlegel Road. These two subdivisions will add an additional 265 residential lots. Averaging 3 bedrooms, a daily flow of (330gpd x 265 lots) 87,450 gpd can be expected. Over a 24 hr operation period and a peaking factor of 4, the peak flow anticipated will be approximately 243 gpm which will be applied in between manholes S12 and S15. For this evaluation, only the approved section 1 of both Meadows Two (27 lots) and Bella Terra (66 Lots) will be applied to the existing flows. The remainder will be applied in the estimated future flows. EXISTING CAPACITY ANALYSIS As described previously in the existing conditions section, the existing system contains a variety of sanitary sewer sizes and slopes. This results in a varying capacity. Table 2 below documents the size, slope, and the capacity of the existing sanitary sewer using a roughness coefficient of 0.01 for full flow capacity. The existing flow represents the adjusted peak flow with the addition of section 1 of Bella Terra and Meadows Two. The adjacent existing capacity column shows the percentage of the full flow capacity of the existing sanitary sewer system. The estimated flow column represents the adjusted peak flow rates from the flow metering analysis combined with the flow from the industrial site, and the previously approved site flows from The Bella Terra and Meadows Two subdivisions. The sewers highlighted in orange show the sanitary sewers which are under sized for the addition of the proposed industrial flows along with the existing flows. As shown in the above table highlighted in orange, a large majority of the existing sewer is undersized for the proposed additional industrial flow. Further evaluation of the existing capacities of the sanitary sewer with the existing flows, not considering the industrial proposed flow, yield an average capacity percentage of 85% for the 10” section (S2-14), 14% for 18” section (S15-21), 11% for the 15”(S22-42), 30% for the 12” (S43-47), and 50% for the 8” (S48-57). PROPOSED SANITERY SEWER UPGRADES The proposed upgrades to the sanitary sewer would be to replace the under sized sections of sanitary sewer and manholes. The goal would be to upsize the sanitary main while keeping the same alignment and profile while only adjusting the profile where undesirable slopes exist. The design consideration will be as follows. The proposed flows will be the adjusted peak flows obtained by the existing capacity analysis. Seeing as PVC pipe will be used a Mannings roughness coefficient of 0.01 will be used for the analysis. Proposed industrial flows will be 2,083 gpm. The desired maximum flow is 70% of the full flow capacity. Table 3 represents the proposed upgrades required for the additional flow from the proposed industrial site. subdivisions. This results in an additional 172 residential lots generating a design peak flow of 307 gpm. to the upsized sewer. In addition to these two subdivisions, there is an undeveloped 85-acre industrial site adjacent to the sewer run that is being marketed for Industrial use. Based on conversations with the Town of Webster, an assumed future flow of 500 gallons per minute has been allocated for this property. Given this site’s location, this flow would be introduced around manhole S33. Additional upsizing to the sewer to make accommodation for future industrial flows would not be on the burden of developer of the proposed industrial site. Table 4 below shows the capacity analysis with the additional flows and highlights what sections would need improvements to accommodate the future flows. The sewer diameters in green are sections that will be upsized due to the proposed industrial site improvements and Blue represents sections not being upsized. TABLE 4 – FUTURE FLOWS

VALUE ENGIEERING Given the nature of the proposed sanitary sewer improvements, it is proposed to install the new sewer in the same location as the existing sewer. Where feasible, manholes that are in good condition and adequate size, will be modified to accept the new larger gravity sewer and reconstruct the bench. In addition, multiple sections of the proposed sewer are currently sized to handle the estimated design flow from the proposed industrial site. These sections appear to be located along Salt Road. Lastly, given the depth and location of the proposed sewer, disturbance is expected to existing properties which will require restoration which will be kept to a minimum as best as possible. ESTIMATED PROJECT COST An engineer’s estimate has been developed for the proposed improvements. Attention has been given to depth of sewer installation, and the work required to re-establish the yards and driveways as well as replace any utilities that will be damaged or removed due to construction. The estimated cost comes to +/- $6.70 million. Keeping in mind that this is only an estimate based on RSMeans and recent construction projects. A 25% contingency has been applied to the estimate for variables affecting a contractor’s bid price. This price reflects only the estimated cost of making improvements to the Town of Webster’s sewer to serve the new industrial flows. As discussed during the project kick off, any additional cost for sewer improvements to serve future flows would be the responsibility of the Town of Webster. CONCLUSION In conclusion, the proposed industrial site on Tebor Road will require significant upgrades to the existing Town of Webster sewer located along Schlegel, Salt, and to Tebor Road to accommodate the anticipated flows. These proposed improvements would not require any future upsizing or negative impact based on the capacity analysis provided in this report.
